Agreement to Terms

Welcome to Bazu. These Terms of Service (“Terms”) govern your access to and use of the Bazu mobile application, website, and related services (collectively, the “Service”) provided by Bazu Technologies, LLC (“Bazu,” “we,” “us,” or “our”), a Florida limited liability company.

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND OUR MEDICAL DISCLAIMER. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

These Terms include an agreement to resolve disputes by binding individual arbitration and a waiver of class actions (Section 14). Please read those sections carefully.

1. What Bazu Is — and What It Isn't

Bazu is a wellness and food-tracking app for sugar-conscious adults. It helps you log meals, rate foods, see estimates of how your food choices might affect your body, and build steadier eating habits.

Bazu is intended for general wellness purposes only. Bazu is not a medical device and is not designed or intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Bazu does not measure your blood glucose. Any glucose values shown in the Service are algorithmic estimates generated from the meals you log and from research on healthy non-diabetic adults — not readings from your body. See Section 3 for the full Estimated Glucose Curve disclaimer.

2. Eligibility

2.1 Age

You must be at least 18 years old to create an account or use the Service. By creating an account, you represent that you are 18 or older.

2.2 Geography

The Service is offered and intended for use only within the United States. By using the Service, you represent that you reside in the United States. We make no representation that the Service is appropriate or available for use in other locations.

2.3 Type 1 Diabetes

You may use Bazu if you have Type 1 diabetes or another insulin-dependent form of diabetes. The Estimated Glucose Curve and related per-meal prediction features are automatically disabled on your account; the rest of Bazu — meal logging, food scanning, the Nutrition Score, nutrition tracking, and community features — remains available.

Bazu is not designed to manage insulin-dependent diabetes.

The wellness model that powers the Estimated Glucose Curve is built from data on non-diabetic adults and would not accurately reflect the glucose dynamics of an insulin-dependent body. During onboarding you are asked to self-report your diabetic status; selecting Type 1 disables the curve feature on your account from that point forward.

You agree that you will not misrepresent your diabetic status to enable the disabled features and that you will not rely on Bazu to make medication, insulin, or other treatment decisions for any form of diabetes.

2.4 Account Registration

To create an account you must:

  • Provide accurate, current, and complete information
  • Keep your account information up to date
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access

You are responsible for all activity that occurs under your account.

3. Estimated Glucose Curve — Specific Disclaimer

THE ESTIMATED GLUCOSE CURVE IS AN ESTIMATE, NOT A MEASUREMENT.

The 24-hour curve you may see in the Service is an algorithmic projection. It is built from (a) the meals you log, (b) per-meal predictions derived from food macronutrients, glycemic index, and glycemic load, and (c) a baseline rhythm derived from peer-reviewed research on healthy non-diabetic adults. No part of the curve is a real-time reading of your blood glucose.

UNDER NO CIRCUMSTANCES SHOULD YOU USE THE ESTIMATED GLUCOSE CURVE — OR ANY OTHER OUTPUT OF THE SERVICE — TO CALCULATE INSULIN DOSES, DETERMINE BOLUS AMOUNTS, ADJUST MEDICATIONS, OR MAKE ANY OTHER MEDICAL OR TREATMENT DECISION.

Bazu is not a continuous glucose monitor (CGM) and does not replace one. If you use a CGM, you should follow the instructions provided with that device and any guidance from your healthcare provider. The Service may display data synced from a CGM via Apple HealthKit; that data is shown for tracking convenience only and does not constitute medical advice or a treatment recommendation.

4. Medical and Wellness Disclaimer

4.1 Not Medical Advice

THE SERVICE AND ITS CONTENT ARE PROVIDED FOR GENERAL WELLNESS AND INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR RECOMMENDATION.

The Service is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition, including diabetes, pre-diabetes, obesity, eating disorders, or metabolic disorders.

4.2 No Treatment Decisions

You agree that you will not use the Service to:

  • Calculate insulin doses or determine bolus amounts
  • Decide whether to take, skip, or adjust any medication
  • Diagnose any medical condition in yourself or another person
  • Replace consultation with a qualified healthcare provider
  • Make decisions during a medical emergency

4.3 Talk to Your Healthcare Provider

If you have, or suspect you may have, any medical condition, you should consult a qualified healthcare provider before relying on anything you see in the Service. Always:

  • Consult your healthcare provider before changing your diet, medications, or treatment plan
  • Seek immediate medical attention for emergencies (call 911 or your local emergency number in the United States)
  • Follow your healthcare provider's instructions over anything the Service displays
  • Inform your care team about any tools, including Bazu, that you use alongside their care

4.4 Accuracy of Information

We strive for accuracy, but the Service depends on inputs and models that are imperfect by nature:

  • Most data in the Service comes from information you manually enter or sync from third-party services (such as Apple HealthKit); we cannot guarantee its accuracy or completeness
  • Nutritional values, macronutrients, glycemic index, and glycemic load are estimates derived from public databases and AI models, and can vary significantly between sources and from your actual food
  • The Estimated Glucose Curve and other algorithmic outputs are estimates only (see Section 5)
  • Foods, brands, recipes, and serving sizes vary; small differences in input can produce large differences in output

Do not rely on any nutrition estimate, glucose value, score, prediction, or recommendation in the Service for medical, dosing, or treatment decisions.

4.5 Your Responsibility

You are solely responsible for:

  • What you choose to eat, drink, or do
  • How you interpret and act on information in the Service
  • Seeking professional medical advice when needed
  • The accuracy of the information you enter

WE ARE NOT LIABLE FOR ANY HEALTH OUTCOMES RESULTING FROM YOUR USE OF THE SERVICE.

5. AI and Algorithmic Outputs

Parts of the Service rely on artificial intelligence, machine learning, and algorithmic models — including the meal parser that interprets your meal descriptions and photos, the per-meal glucose response prediction, the Estimated Glucose Curve baseline model, the Bazu Score, and other suggestions or insights (collectively, “AI Outputs”).

Because of the inherent limitations of artificial intelligence and probabilistic models, AI Outputs may at times be incomplete, inaccurate, biased, probabilistic in nature, or substantially similar to AI Outputs provided to other users. AI Outputs are not deterministic and may change over time as our models are updated.

AI OUTPUTS ARE PROVIDED FOR WELLNESS AND INFORMATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR A PROFESSIONAL RECOMMENDATION OF ANY KIND, AND MUST NOT BE USED TO MAKE ANY TREATMENT OR DOSING DECISION.

You should always use your own judgment, and the judgment of your healthcare provider, before acting on anything the Service generates.

6. License and Restrictions

6.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes.

6.2 Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Rent, lease, sell, sublicense, or otherwise transfer access to the Service
  • Remove or alter any copyright, trademark, or proprietary notice
  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Interfere with, disrupt, or overload the Service or our infrastructure
  • Attempt to gain unauthorized access to any part of the Service or another user's account
  • Use automated systems (bots, scrapers, harvesters) without our prior written permission
  • Misrepresent your identity, age, location, or diabetic status
  • Attempt to bypass any feature gate (including the Type 1 diabetes feature gate)
  • Harass, abuse, threaten, or harm other users
  • Upload viruses, malware, or any malicious code
  • Use the Service in a way that violates any applicable law or regulation

6.3 Commercial Use

The Service is for personal use only. Any commercial use, including resale, redistribution, or use in connection with another product, requires our prior written consent.

7. User Content

7.1 Your Content

You retain ownership of the original data and content you create and submit to the Service (“User Content”), including meal descriptions, meal photos, ratings, notes, profile information, goals, and any health-related data you manually enter or sync from connected services.

7.2 License to Us

By submitting User Content, you grant Bazu a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reformat, and analyze your User Content for the purpose of operating, providing, securing, and improving the Service. This license includes the right to:

  • Store your User Content on our servers and back it up for recovery
  • Display your User Content back to you within the Service
  • Process your meal photos through AI models to identify foods and estimate nutrition
  • Use your User Content to generate insights and visualizations for your personal use
  • Create de-identified, aggregated statistics that cannot reasonably be used to identify you

This license ends when you delete the underlying User Content or your account, except for de-identified, aggregated statistics that no longer identify you.

7.3 What We Will Not Do

We will not:

  • Sell your identifiable health data to third parties
  • Use your identifiable health data to train AI models for parties outside Bazu
  • Share your meal photos or health data publicly
  • Use your identifiable data for third-party advertising

7.4 Your Representations

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any law or third-party right
  • Your User Content is accurate to the best of your knowledge

7.5 Removal

We may remove or restrict any User Content that violates these Terms or that, in our reasonable judgment, is harmful or objectionable, with or without notice.

8. Subscriptions and Payments

8.1 Free Tier and Bazu Plus

Bazu offers a free tier with basic features and a paid subscription (“Bazu Plus”) that unlocks additional features. Specific Plus features may change over time.

8.2 Plans and Pricing

Current Plus plans:

  • Plus Monthly — $9.99 per month
  • Plus Yearly — $89.99 per year

Prices may change over time. Changes will not affect an active subscription until its next renewal.

8.3 Free Trial

We may offer a free trial (typically 7 days) for new Plus subscribers. Trial eligibility is limited to one per user. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the rate you selected.

8.4 Auto-Renewal

Plus subscriptions are billed in advance and automatically renew at the end of each billing period (monthly or yearly) at the then-current price, unless cancelled at least 24 hours before the end of the current period. The cost of renewal will be identified before purchase.

8.5 Billing and Cancellation

Plus subscriptions are processed through the Apple App Store and billed to your Apple ID account. You can manage or cancel your subscription at any time in your Apple ID settings (Settings > [your name] > Subscriptions > Bazu). Cancellation takes effect at the end of your current billing period; you keep Plus features until then.

8.6 Refunds

Refunds for App Store subscriptions are handled by Apple and are subject to Apple App Store policies. To request a refund, contact Apple Support. We do not pro-rate charges for partial subscription periods, and we do not refund unused time when you delete your account or cancel.

8.7 Apple App Store Terms

Use of the Service obtained through the Apple App Store is also subject to Apple's standard end-user license agreement and Apple's App Store terms. Apple is not a party to these Terms, has no obligation to provide support or maintenance for the Service, and is not responsible for any claim relating to your use of the Service. Apple is, however, a third-party beneficiary of these Terms for the limited purpose of enforcing them against you with respect to your use of the Apple-distributed Service.

9. Intellectual Property

9.1 Our Rights

The Service and all of its content, features, and functionality — including software, text, graphics, logos, icons, images, audio, video, models, algorithms, scores, and design — are owned by Bazu Technologies, LLC or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

9.2 Trademarks

“Bazu,” the Bazu logo, “Bazu Score,” and other product and service names used in the Service are trademarks of Bazu Technologies, LLC. You may not use these marks without our prior written permission.

9.3 Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback for any purpose, without any obligation to you.

10. Third-Party Services

10.1 Integrations

The Service may integrate with third-party services such as Apple Sign-In, Google Sign-In, Apple HealthKit, RevenueCat, and analytics providers. Your use of those services is governed by the applicable third party's own terms and privacy policy.

With your permission, the Service may read health data — including CGM glucose readings — from Apple HealthKit. We use HealthKit data solely to operate and improve the Service and do not use it for advertising or share it with third parties without your consent.

10.2 Links to Other Sites

The Service may contain links to third-party websites or resources. We are not responsible for their availability, accuracy, or content, and we make no warranties about anything you find on them. Your interactions with third parties are at your own risk.

11. Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your information, and your Privacy Choices page explains the rights you have over your data. By using the Service, you agree that we may process your information as described in those policies.

12. Disclaimers and Limitation of Liability

12.1 "AS IS" Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND COMPLETENESS.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service or its servers are free of viruses or harmful components
  • Any output, estimate, score, or prediction generated by the Service is accurate, reliable, or suitable for any particular purpose

12.2 Health-Related Disclaimers

WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT:

  • The Service is medically accurate or suitable for managing any medical condition
  • Any output of the Service reflects your actual blood glucose, metabolic state, or nutritional status
  • The Service complies with any medical-device standard or regulation
  • Use of the Service will produce any particular health outcome

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BAZU TECHNOLOGIES, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Lost profits, lost revenue, lost data, or loss of goodwill
  • Personal injury, illness, or property damage
  • Any health complication, dosing error, or medical outcome connected with your use of the Service
  • Damages arising from your use of, or inability to use, the Service

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.4 Cap on Liability

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF:

  • The amount you paid Bazu for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or
  • Ten thousand U.S. dollars ($10,000).

12.5 Basis of the Bargain

You acknowledge that the disclaimers and limitations in this Section 12 reflect a reasonable allocation of risk between you and Bazu and are an essential basis on which we offer the Service. Some jurisdictions do not allow certain limitations on warranties or liability, so some of the limitations above may not apply to you in their entirety.

13. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Bazu Technologies, LLC and its members, officers, employees, contractors, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of, or activities in connection with, the Service in violation of these Terms or any applicable law;
  • Your User Content or your violation of any third-party right; or
  • Your fraud, gross negligence, or willful misconduct.

14. Dispute Resolution — Arbitration and Class Action Waiver

READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND BAZU TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, EXCEPT AS DESCRIBED BELOW.

14.1 Informal Resolution First

Before starting an arbitration or filing in small claims court, you agree to first send us a written notice describing the dispute to hello@withbazu.com and to give us sixty (60) days to attempt to resolve it informally.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved through final and binding individual arbitration, administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.

The arbitration will be conducted in English. The arbitrator may award the same individual relief a court could award and must follow these Terms. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

14.3 Small Claims Carve-Out

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction, in lieu of arbitration.

14.4 Class Action Waiver

YOU AND BAZU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable, the rest of Section 14 is null and void, but the remainder of these Terms will continue to apply.

14.5 30-Day Opt-Out

You may opt out of this arbitration and class action waiver agreement within thirty (30) days of first accepting these Terms by sending a written opt-out notice to hello@withbazu.com that includes your full name, the email address on your account, and a clear statement that you wish to opt out of arbitration. If you opt out, Section 14 will not apply to you; the rest of these Terms (including Section 15) will continue to apply.

14.6 Time Limitation

Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim accrues. Otherwise, the claim is permanently barred.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. For any dispute not subject to arbitration (including the small-claims carve-out and any disputes for which a user has opted out under Section 14.5), you and Bazu agree to the exclusive jurisdiction of the federal and state courts located in Miami-Dade County, Florida.

16. Termination

16.1 By You

You may stop using the Service at any time. You may delete your account through the “Delete Account” option in the app or by contacting us at hello@withbazu.com.

16.2 By Us

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or created a risk for Bazu or other users, or if required by law.

16.3 Effect of Termination

On termination:

  • Your right to use the Service ends
  • We will delete your account data in accordance with our Privacy Policy
  • Any active App Store subscription is not automatically cancelled and must be cancelled separately in your Apple ID settings
  • You remain responsible for any obligations or charges incurred before termination

Sections that by their nature should survive termination will survive, including Sections 3 (Estimated Glucose Curve), 4 (Medical and Wellness Disclaimer), 5 (AI and Algorithmic Outputs), 7 (User Content licenses you have granted), 9 (Intellectual Property), 12 (Disclaimers and Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 15 (Governing Law).

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date and notify you in the app or by email. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree to the updated Terms, stop using the Service and delete your account.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, Medical Disclaimer, and Your Privacy Choices page, constitute the entire agreement between you and Bazu regarding the Service and supersede any prior agreements.

18.2 Severability

If any provision of these Terms is found unenforceable, the rest of the Terms will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

18.3 No Waiver

Our failure to enforce any right or provision in these Terms is not a waiver of that right or provision in the future.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

18.5 No Third-Party Beneficiaries

Except for Apple Inc. as expressly provided in Section 8.7, these Terms do not create any third-party beneficiary rights.

18.6 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, acts of war or terrorism, government actions, internet or telecommunications failures, or third-party service outages.

18.7 Notices

We may give you notices by email (to the address on your account) or through the Service. You give us notices by email to hello@withbazu.com.

18.8 Language

These Terms are written in English. Any translation is provided for convenience only; in case of conflict, the English version controls.

20. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT:

  • You have read, understood, and agreed to these Terms, the Privacy Policy, and the Medical Disclaimer.
  • Bazu is a wellness app for general informational purposes only and is not a medical device.
  • The Estimated Glucose Curve and other algorithmic outputs are estimates, not measurements, and must not be used for treatment, dosing, or medication decisions.
  • You will consult qualified healthcare professionals for any medical decision.
  • If you have Type 1 or any other insulin-dependent diabetes, Bazu is not designed for you.
  • You use the Service at your own risk and are solely responsible for your decisions about food, health, and lifestyle.
